Crowe advises Holland Capital on the merger between House of Clouds and Ambient Digital

House of Clouds Group B.V. (“House of Clouds”) and Ambient Innovation: GmbH (“Ambient Digital”) are joining forces to strengthen their services and expand their joint expertise in Digital Strategy, Data & AI, Software Engineering and Cyber Security in the Netherlands and Germany.

Holland Capital Management B.V. (“Holland Capital”) has been investing responsibly and successfully in promising Dutch and German SMEs with growth ambitions for over 40 years. House of Clouds has been part of Holland Capital's portfolio since April 2023. The company, based in Eindhoven and Rotterdam, helps companies to identify, control and automate business and IT processes faster. House of Clouds includes the companies Whyellow, Defenced and Synobsys. The company employs 120 people.

Ambient Digital, based in Cologne and Berlin, is a digital agency specializing in IT, web and app development. With a team of 100 professionals, the company focuses on supporting its clients in their digital transformation by offering customized solutions for web services, cloud integration and application development.

BPG Beratungs- und Prüfungsgesellschaft mbH (Crowe BPG) advised Holland Capital/House of Clouds on the merger. The Crowe BPG team (crowe-bpg.de), which was responsible for the financial due diligence, consisted of Andreas Hoffmann (WP and Partner (overall lead)), Holger Redle (Senior Associate, Financial) and Philipp Jans (Senior Associate, Financial).
