Crowe supports GENUI in the sale of its majority stake in the VALEARA Group to Luxempart

Crowe advised GENUI GmbH (“GENUI”), a private investment company based in Hamburg and Zurich, on the sale of a majority stake in the VALEARA Group to Luxempart S.A., a listed investment company based in Luxembourg. GENUI remains invested as a shareholder.

VALEARA is a provider of outpatient mental health services. Based on an integrated platform of various care facilities, VALEARA enables patients to access comprehensive, high-quality treatment options in a timely manner. In addition, the VALEARA Academy promotes the training and further development of therapeutic specialists.

The company was originally founded in 1983 as a neurological practice and, since GENUI joined in 2020, has developed into a leading provider of mental health care in Germany through targeted acquisitions, which were also supported by Crowe, and the establishment of a modern, efficient organization. VALEARA now cares for more than 220,000 patients annually at 14 locations and employs more than 700 people.

BPG Beratungs- und Prüfungsgesellschaft mbH (Crowe BPG) advised GENUI on the economic and tax aspects of the transaction. The Crowe BPG (crowe-bpg.de) financial team, which was responsible for preparing the financial fact book and providing economic contract advice, consisted of Andreas Hoffmann (auditor and partner (overall management)), Martin Brinkfort (director), Holger Redle (associate manager), and Philipp Jans (senior consultant). Tax support (preparation of the Tax Fact Book) was provided under the leadership of Dr. Philipp Kruse (tax advisor and partner (overall management)) with the support of a cross-firm team.
