Crowe supports PINOVA and KRC GmbH in the sale of shares in ECOROLL to Indutrade

Funds advised by PINOVA Capital GmbH (“PINOVA”) and KRC GmbH have sold their shares in ECOROLL Holding GmbH (“ECOROLL”), the leading supplier of specialized roller burnishing and deep rolling tools for the mechanical finishing of metallic surfaces, to the listed company Indutrade AB in Sweden.

PINOVA (seller of the majority stake) is an independent investment company that invests in industrial tech companies (High Tech Components, Innovative Materials and Smart Systems) in German-speaking countries with its managed funds. ECOROLL has been part of PINOVA's portfolio since 2021. ECOROLL has been developing and producing customized tools and machines for roller burnishing, deep rolling and cylinder tube processing at its headquarters in Celle, Lower Saxony, since 1996. Many years of experience, numerous patented innovations and cooperation with universities and institutes make ECOROLL the absolute technology leader in this field. ECOROLL also has direct access to customers in North America through its own sales company in Cincinnati, Ohio. Together with PINOVA, the Managing Director of ECOROLL, Dr. Karsten Röttger, is also selling the minority shares in ECOROLL to Indutrade via his holding company KRC GmbH.

Indutrade (the buyer) is a Swedish international industrial group specializing in the acquisition and development of medium-sized technology and industrial companies. With a diversified portfolio of over 200 subsidiaries, Indutrade offers high-quality technical components, systems and services for a wide range of industries.

BPG Beratungs- und Prüfungsgesellschaft mbH (Crowe BPG) advised PINOVA and KRC GmbH (seller side) on the sale. The Crowe BPG team (crowe-bpg.de), which was responsible for the financial fact book and the commercial contract negotiations, consisted of Andreas Hoffmann (WP and Partner (overall lead)), Martin Brinkfort (Senior Manager, Financial) and Philipp Jans (Senior Associate, Financial).
